The terms governing use of this website and the provision of our consulting services.

Acceptance of these terms

By accessing this website or engaging RESTO Consultancy ("the Firm", "we", "us") for consulting services, you agree to these terms. If you do not accept them, please do not use the site or engage our services.

We may revise these terms from time to time. The version published on this page at the time you access the site or sign an engagement letter is the version that applies.

Scope of services

Our services comprise hospitality consulting across strategy, operations, kitchen planning, menu engineering, recruitment, training, pre-opening, expansion and franchise development. The precise scope of any engagement is defined exclusively in a signed engagement letter or proposal.

Nothing on this website constitutes an offer, a guarantee of results, or advice on which you should act without a formal engagement. Website content is general in nature and does not account for your specific circumstances.

No guarantee of financial outcome

Hospitality performance depends on factors outside our control, including location, capital structure, market conditions, licensing, staffing, and the client's own execution. Figures, projections, index curves and case metrics shown on this website are illustrative.

We do not warrant any specific revenue, margin, footfall or profitability outcome. Any targets discussed during an engagement are planning assumptions, not guarantees.

Fees and payment

Fees, milestones, payment schedules and reimbursable expenses are set out in the engagement letter. Unless stated otherwise, fees are exclusive of applicable taxes, which are payable in addition.

Invoices are payable within the period stated on the invoice. We reserve the right to suspend work on overdue accounts after written notice.

Intellectual property

All frameworks, models, templates, manuals, drawings and methodologies developed by the Firm remain our intellectual property. On full payment, the client receives a non-exclusive, non-transferable licence to use deliverables for the operation of the business named in the engagement.

Deliverables may not be resold, sub-licensed, or supplied to third parties — including franchisees not named in the engagement — without our written consent.

Website content, including copy, layout, generated graphics and code, is owned by the Firm. The RESTO Consultancy name and logo are our marks and may not be reproduced without permission.

Confidentiality

Each party will keep the other's confidential information private and use it only for the purposes of the engagement. This obligation survives termination.

We may reference the fact of an engagement and non-confidential outcome metrics in our portfolio unless the engagement letter states otherwise.

Client responsibilities

The client is responsible for the accuracy of information provided to us, for obtaining all statutory licences and approvals, for compliance with food safety, labour and taxation law, and for the operational decisions it ultimately takes.

Where we recommend contractors, vendors or equipment, the client contracts with them directly and is responsible for that relationship.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with an engagement is limited to the total fees paid by the client under that engagement.

We are not liable for indirect, incidental or consequential loss, including loss of profit, revenue, goodwill or anticipated savings.

Termination

Either party may terminate an engagement on the written notice period stated in the engagement letter. Fees for work performed and expenses incurred up to the termination date remain payable.

Governing law

These terms and any engagement are governed by the laws of India. The courts at Kolkata, West Bengal have exclusive jurisdiction, subject to any arbitration clause in the engagement letter.
